The arbitral tribunal shall consist of a single arbitrator unless the amount in dispute exceeds CHF 1,000,000, in which case a panel of three arbitrators shall be appointed. The arbitrator’s decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and expenses of arbitration, with the arbitrator having discretion to allocate costs differently based on the outcome.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm pending the outcome of arbitration.

13. Severability

If any provision of these Terms is found by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent. If modification is not possible, the invalid provision shall be severed and the remaining Terms shall be interpreted as if the invalid provision had never been included.

14. Entire Agreement
